Terms of use and service
Site terms for every visitor, and service terms for clients who contract with us.
1Definitions and scope
1.1 In these terms:
- "Naqar", "we", "us": the entity named in clause 2 that provides the service to you, based on your facility's country.
- "Site": the Naqar Digital website in Arabic and English, with all its pages, tools, interactive Solutions, and the careers and assessment pages.
- "Visitor": anyone who browses the Site or uses its tools.
- "Client": a healthcare facility or doctor that contracts with us for a paid service.
- "Portal": the client portal on the Site, with files, reports, approvals, invoices and requests.
- "Proposal": the written offer we send a Client, stating the services, package, term, price and payment method.
- "Agreement": the accepted Proposal, any statement of work and data processing addendum, and these terms.
- "Deliverables": what we produce for the Client under the Agreement, such as designs, copy, video, pages, set-ups and reports.
1.2 These terms have two parts:
- Site terms (clauses 3 to 7) apply to every Visitor.
- Service terms (clauses 8 to 26) also apply to Clients.
1.3 Order of precedence: the signed Agreement or accepted Proposal, then the statement of work, then the data processing addendum for personal data, then these terms.
1.4 These terms are read together with the Privacy Policy published on the Site.
2Who we are
2.1 Saudi Arabia: Naqar Digital's branch in the Kingdom is currently being registered. Until registration is complete, services to clients in the Kingdom are provided and invoiced by the Egyptian entity in section 2.2, and this page will be updated with the branch details once registered.
2.2 Egypt: Naqar Digital LLC, Commercial Registration No. 249994 (Cairo Investment Commercial Registry Office), address: Building 5, Neighbourhood 9, First Settlement, New Cairo, Cairo, Arab Republic of Egypt.
2.3 Contact: email info@naqardigital.com, phone +966 56 292 5982, working hours Sunday to Thursday, 11:00 to 17:00 Saudi time.
2.4 Who contracts with you: Naqar Digital contracts with clients in both countries through a single entity, the one named in clause 2.2. The contracting entity is named on the Proposal and the invoice.
2.5 Once the Saudi branch is registered, the contracting entity remains one, and its Commercial Registration, VAT number and Ministry of Commerce e-store authentication (if applicable) will be added to this clause.
3Accepting these terms
3.1 By using the Site you agree to these terms. If you do not agree, you may stop using the Site.
3.2 The Site is for owners, managers and teams of healthcare facilities, for doctors, and for job applicants. You must be 18 or older to open an account, send a request or apply for a job.
3.3 When you act for a facility, you confirm that you are authorised to do so and that the facility is bound by what you accept.
3.4 Our services are for businesses and professionals. We provide no medical service to patients, and nothing on the Site replaces a doctor's advice.
4Permitted and prohibited use
4.1 You may browse the Site, use its tools, contact us, subscribe to the newsletter and apply for jobs, for lawful professional purposes.
4.2 You may not:
- access or attempt to access any part of the Site, Portal or server without authorisation, or bypass security controls or run security tests without our written permission;
- scrape the Site's content or data at scale, or copy its tools or prices for republication;
- flood forms or verification codes, use another person's details, or impersonate a facility or person;
- upload files with malicious code or with unlawful or indecent content;
- try to obtain, copy or publish assessment questions or answer keys, or get help from anyone during an assessment;
- use the Site in breach of Saudi or Egyptian law, including the Saudi Anti-Cyber Crime Law and the Egyptian Anti-Cyber and Information Technology Crimes Law.
4.3 We may suspend any account, request or assessment linked to a breach of this clause and report it to the competent authorities when needed.
5Accounts
5.1 Visitor account: you open it with your email and a one-time code sent to it, with no password. You can edit your details or delete your account from the account page at any time.
5.2 Portal account: we create it for the people the Client names from its team. Sign-in uses a password and a second step by email code or authenticator app, with recovery codes for emergencies. A trusted device can be remembered for 30 days.
5.3 Your responsibilities:
- keep sign-in codes, recovery codes and your device secure;
- tell us at once at info@naqardigital.com if you suspect someone else used your account;
- the Client decides who on its team uses the Portal and tells us to remove anyone who leaves.
5.4 Actions taken in the Portal from an authorised user's account, such as approving a design or accepting a Proposal, are treated as the Client's, unless the Client told us beforehand that the account was compromised.
5.5 We may temporarily lock an account to protect it or the Site when we see unusual activity, and we will tell the account holder.
6Tools, calculators, Solutions and content
6.1 Calculators and tools give estimates based on market averages and the numbers you enter. They help planning. They are not a quotation or a promise of results. The numbers are calculated in your browser and reach us only if you send them in a request.
6.2 Interactive Solutions are demonstrations of what we build for facilities. Names, times and cases in them are fictional, and they give no diagnosis or medical advice. In an emergency, call emergency services immediately: 997 or 911 in Saudi Arabia, 123 in Egypt.
6.3 Articles and guides are general education on marketing and growth. They are not legal, medical or financial advice. Check with the competent authority or your adviser before any regulatory decision.
6.4 The guide assistant (Naqra) shows ready options and answers drawn from Site content and points you to the right page or form. It stores no conversation and gives no medical opinion.
6.5 We work to keep content accurate and current, and we may change or remove it without notice.
7Site intellectual property and external links
7.1 Text, designs, the logo, images, tools, software and question banks on the Site belong to Naqar or are licensed to it. You may view them for personal or internal professional use. Copying, republishing or building a similar product from them needs our written permission.
7.2 Client work shown belongs to its owners and is shown with their consent. Client figures we publish are real, dated and approved by the Client. Illustrations are labelled as illustrations.
7.3 Country data on the Site: IP to Country Lite by DB-IP.com, licensed under Creative Commons Attribution 4.0.
7.4 The Site may link to other sites, including our Clients' sites and social platforms. Their own terms and policies apply, and we do not control their content.
Use of content
7.5 You are welcome to quote a short passage from our articles and pages, with the name Naqar Digital and a link to the page you quoted.
7.6 Copying an article or page in full, republishing it, translating it, using it commercially, or collecting it automatically to build a database or a product needs our written permission.
7.7 To ask for permission, or to tell us about a copy: info@naqardigital.com.
8Prices, currency and tax
8.1 The Site shows the prices of the market you browse from: Saudi Arabia in SAR or Egypt in EGP. Our server decides the market from your IP address, or from the Client account's country if you are signed in.
8.2 The binding price is the one in the accepted Proposal or Agreement. Prices on the Site are indicative and may change without notice. The price of a running Agreement does not change during its term.
8.3 The contract price is that of the country where the facility operates and is invoiced, whatever country you browse from.
8.4 Tax: prices shown exclude VAT. VAT is added at the statutory rate of the invoicing country at the invoice date (currently 15% in Saudi Arabia and 14% in Egypt). Invoices are issued electronically under the requirements of the Saudi Zakat, Tax and Customs Authority and the Egyptian Tax Authority.
8.5 Ad budget is separate from the package price. The Client pays the ad platforms directly with its own payment method registered in its name, and Naqar does not receive ad funds on its behalf. Naqar runs campaigns through access the Client grants to its ad accounts.
8.6 Setup fees appear in the Proposal where they apply and cover account audits, tracking and system set-up. 12-month Agreements are exempt, under clause 10.4.
9How we contract
9.1 The relationship starts with a meeting or a request on the Site. The Client receives a written Proposal with the services, package, term, price and payment method.
9.2 The Proposal is accepted in any of these ways, each of them binding:
- signing the Proposal or Agreement, by hand or electronically;
- approving it from an authorised Portal account;
- replying with acceptance by email from an address on file for the Client, followed by payment of the first instalment.
9.3 Electronic messages and approvals are treated as written, under the Saudi Electronic Transactions Law and Egyptian Electronic Signature Law No. 15 of 2004, to the extent they allow.
9.4 Work starts after acceptance, payment of the first instalment and the Client providing what is needed to start under clause 12.
9.5 Any work outside the Proposal's scope needs an additional Proposal or addendum approved before it starts.
10Term and renewal
10.1 Available terms:
- Monthly with a 3-month minimum: at the monthly price, with no discount.
- 6 months: with the term discount stated in the Proposal.
- 12 months: with the term discount stated in the Proposal and no setup fee.
10.2 The term starts on the start date in the Proposal, or on payment of the first instalment if no date is stated.
10.3 The term discount rewards completing the term. It comes off the final instalment in full. If the Agreement ends before the end of its term for any reason other than our breach, the discount does not apply and the months delivered are charged at the monthly price.
10.4 The setup fee waiver on a 12-month Agreement depends on completing the term. If the Agreement ends early for any reason other than our breach, the setup fee in the Proposal becomes due.
10.5 At the end of the term: a review meeting is held at least 30 days before the term ends to review results and the requirements for the next phase. On that basis the Agreement is renewed on the same terms or on amended terms agreed in writing. The Agreement does not renew automatically without this agreement.
11Payment and instalments
11.1 Payment schedule by term. Each instalment or payment is made in advance at the start of its period.
- 12 months: 4 instalments. The discount comes off the fourth in full.
- 6 months: 2 instalments. The discount comes off the second in full.
- 3 months: 3 monthly payments, with no discount.
11.2 Due date: within 7 days of the invoice date, unless the Proposal says otherwise.
11.3 Payment methods: bank transfer to the account on the invoice, or any method we announce in the Portal. We never ask for payment to a personal account, and we never change bank details by email alone. If you receive such a message, confirm with us by phone before paying.
11.4 Late payment:
- We send a reminder 3 days before the due date, a notice on the due date, then a notice every 7 days until payment.
- If an instalment is unpaid 12 days after the due date, we may suspend the service after written notice until payment.
- Suspension does not change the term or the instalments due.
- We do not suspend campaigns in a way that harms patients, such as awareness campaigns or booked appointments, without telling the Client and giving it a chance to move management to its own team.
11.5 Invoice disputes are sent in writing within 7 days of receipt with the reason. The undisputed part is paid on time.
11.6 Amounts paid for a period whose work has started are non-refundable, except on our breach under clause 21.3.
12Client obligations
12.1 Give accurate information about the facility, its licence, specialties and doctors, and tell us of any change.
12.2 Keep the facility's licence, its practitioners' licences and any advertising pre-approval required by the authorities valid.
12.3 Give us the access we need to ad, messaging and website accounts, while ownership stays with the Client (clause 15.4).
12.4 Review content and approve it or ask for changes within 2 working days. Late replies delay delivery. They do not extend the term or reduce instalments.
12.5 Name a contact person at the facility with authority to approve.
12.6 Reply to patient enquiries and bookings that come from campaigns. Results depend heavily on the facility's reply speed and front-desk quality.
12.7 Make sure it has the right to use every image, certificate, clip and name it gives us, and written consent from any patient or person who appears in it.
13Healthcare advertising and compliance
13.1 The facility is the licensed advertiser. Ads are published in the name and under the responsibility of the facility or doctor, within its licence and approved specialty.
13.2 Our role: we design and review content against the healthcare advertising requirements we know in each country, and we flag in writing anything we see as non-compliant or high-risk. Our review is professional, not legal advice or official approval.
13.3 Saudi Arabia: the Client complies with the Private Health Institutions Law, the Health Professions Practice Law and their regulations, instructions of the Ministry of Health and the Saudi Commission for Health Specialties, and instructions of the Saudi Food and Drug Authority for any ad about a medicine, device or product.
13.4 Egypt: the Client obtains Ministry of Health and Population approval for the advertised activity where the rules require it, and complies with the Supreme Council for Media Regulation rules on health service ads, the Medical Syndicate code of ethics, and Egyptian Drug Authority instructions for medicines, supplies and supplements.
13.5 We publish nothing in the Client's name without its approval, given in the Portal or by email. Approval means the Client has reviewed the content medically and legally.
13.6 What we decline even if asked: promises of cure or guaranteed outcomes, comparisons that disparage competitors, before-and-after images without the patient's valid written consent and whatever else the rules require, patient data or images without consent, unapproved titles or specialties, and prices or discounts that need an approval the Client does not have.
13.7 If an authority or platform asks for an ad to be stopped or changed, we work with the Client to do so at once. Fines or penalties arising from content the Client approved or from its licence are borne by the Client.
14Patient data and processing on the Client's behalf
14.1 Roles: for campaigns, forms and messaging channels we set up for a Client, the Client is the controller of patient and enquirer data, and we are a processor acting on its written instructions.
14.2 The data processing addendum is part of the Agreement and sets out the data types, purpose, duration, security, sub-processors, transfers abroad, incident reporting, and deletion or return at the end.
14.3 We do not ask for or need patients' medical records. We design forms to collect the minimum needed for contact, such as name, mobile and the service requested. If a service needs health data, it is agreed in writing with added safeguards.
14.4 The Client is responsible for obtaining patients' consents and publishing a facility privacy policy covering its channels.
14.5 We protect patient data as set out in the Privacy Policy and tell the Client without delay of any incident affecting its data, in time for it to notify within 72 hours where required.
15Third-party platforms and services
15.1 Many of our services run on platforms we do not own or control, such as Google, Meta (Facebook and Instagram), WhatsApp Business, Snapchat, TikTok, Google Maps, booking platforms and online stores.
15.2 Each platform has its own terms and ad policies and may reject an ad, restrict an account, or change its prices and algorithms. We follow their policies, tell the Client of any rejection or restriction, and work to resolve it.
15.3 We are not liable for platform decisions, outages or policy changes, unless caused by our breach of these terms.
15.4 Account ownership: ad accounts, pages, business profiles, WhatsApp numbers, the domain and hosting are registered in the Client's name and ownership, and we receive manager or partner access. If we create an account at the Client's request, we transfer ownership on request or at the end of the Agreement.
15.5 Third-party tools and assets we use, such as fonts, licensed images, templates and plugins, are subject to their licences. We tell the Client of any recurring licence fee before using them.
16Results
16.1 We commit to professional care, delivering the agreed scope, and transparent reporting.
16.2 Targets in Proposals and reports, such as enquiry volume or cost per enquiry, are working goals and estimates based on market data. They are not a guarantee of patients or revenue, because results depend on factors outside our control, including budget, competition, platform policies, the facility's prices, its reply speed and its service quality.
17Intellectual property in Deliverables
17.1 What passes to the Client: once the fees for the period in which they were produced are paid in full, the Client owns the final Deliverables made specifically for it, such as designs, copy, produced video, pages and content identity.
17.2 What stays Naqar's and is not delivered: the digital infrastructure we build and operate, support pages, patient-journey logic, AI assistant and reply-bot logic, our tools, templates, code libraries, plugins, pricing and assessment engines, our know-how, and any improvement to them. The Client uses them as part of the service during the Agreement, and the right of use ends when the Agreement ends unless agreed otherwise in writing.
17.3 What is delivered to the Client: the images and video assets produced for it in their final form, and any additional files agreed in the Proposal. Raw files are delivered when agreed in the Proposal.
17.4 Portfolio: we show a Client's name, work or figures in our portfolio or on the Site only with its written consent, which it may withdraw for future publication.
17.5 Client materials: logos, images and content the Client provides remain its property. It licenses us to use them during the Agreement only to deliver the service.
18Confidentiality
18.1 Each party keeps the other's non-public information confidential, such as prices, figures, plans, contracts and account data, and uses it only to perform the Agreement.
18.2 This does not cover information that is public, received lawfully from another source without a duty of confidence, or required by an authority or court, with notice to the other party where the law allows.
18.3 This duty lasts 3 years after the Agreement ends, and without time limit for patient data and personal data.
19Non-solicitation
19.1 During the Agreement and for 12 months after it ends, neither party offers employment or a direct contract to an employee of the other who actually worked on the Client's account, without the other party's written consent.
19.2 This does not cover hiring through a public job ad that the employee answered on their own.
19.3 On breach, the breaching party pays agreed compensation equal to 6 months of the employee's salary, based on their last monthly salary.
20Limitation of liability
20.1 Neither party is liable to the other for indirect loss, such as loss of profit, revenue, reputation or opportunity, unless caused by fraud or gross negligence.
20.2 Our total liability for any claim under the Agreement is capped at the fees the Client paid us for the service concerned in the 3 months before the event giving rise to it.
20.3 No cap or exclusion in this clause applies to fraud, gross negligence, breach of confidentiality or personal data protection caused by our fault, or any liability that cannot be limited by law.
20.4 We are not liable for decisions based only on Site or tool estimates without a written Agreement.
21Suspension and termination
21.1 Suspension: after written notice, we may suspend all or part of the service if payment is late under clause 11.4, or if the Client asks us to publish content we consider unlawful or against platform policies.
21.2 Termination by the Client:
- after the minimum or agreed term: on 30 days' written notice;
- before that: on 30 days' written notice, with the 3-month minimum due. The term discount no longer applies, and the months delivered are charged at the monthly price under clauses 10.3 and 10.4.
21.3 Termination for breach: either party may terminate if the other commits a material breach and does not remedy it within 15 days of written notice. If the Client terminates for our breach, we refund what it paid for the period not delivered, and the discount applies to the months delivered.
21.4 Immediate termination: either party may terminate at once if the other's licence or registration is revoked, it is declared bankrupt, or it is shown to use the service for unlawful activity.
21.5 After termination:
- within 14 days we hand over paid Deliverables, transfer access and accounts created in the Client's name, and remove our access from its accounts;
- the Client keeps Portal access for 30 days to download its files and invoices;
- we delete or return patient data and Client data not legally required, under the data processing addendum;
- clauses on payments due, intellectual property, confidentiality, non-solicitation, limitation of liability and governing law survive.
22Force majeure
22.1 Neither party is in breach if performance is prevented by an event beyond its control that could not be foreseen or avoided, such as disasters, war, epidemics, government decisions, general internet or power outages, and outages of major platforms.
22.2 The affected party tells the other in writing within 5 working days and works to reduce the impact.
22.3 Affected obligations, and the instalments that correspond to them, pause for the duration of the event. If it lasts more than 60 days, either party may terminate by written notice, and the Client pays for the months delivered at the monthly price, with no penalty.
22.4 Late payment is not force majeure, unless the bank transfer itself is impossible.
23Notices
23.1 Formal notices are sent by email to the address in the Agreement or Portal and are deemed received on the next working day unless a delivery failure notice is received.
23.2 Termination notices and claims are sent by email with a copy via the Portal or another provable method.
23.3 Each party keeps its contact details up to date.
24Governing law and disputes
24.1 Amicable settlement: for any dispute, the party concerned sends written details; representatives of both parties meet within 15 days and aim to resolve it within 30 days of the notice.
24.2 Law and courts: the relationship is governed by the laws of the Arab Republic of Egypt, where the contracting entity is registered. If the dispute is not settled amicably, the courts of Cairo, including the Economic Court where competent, have jurisdiction.
24.3 This does not prevent either party from seeking urgent interim or protective measures from the competent court to protect its rights.
24.4 Site users without an Agreement: use of the Site is governed by the law of the country of the entity you deal with, without affecting any right that cannot be waived by law.
25General
25.1 Changes: we may change these terms. The date appears at the top of the page, and we tell Clients of material changes 30 days before they take effect, by email or in the Portal. Changes do not alter a running Agreement during its term without the Client's consent.
25.2 Assignment: the Client may not assign the Agreement without our written consent. We may assign it to an affiliate after notice to the Client, on the same terms.
25.3 Subcontracting: we may use freelancers or partners for some work. We remain responsible to the Client for their work and bind them to confidentiality and data protection.
25.4 Severability: if a clause or part of it is invalid, the rest remains in force, and the invalid clause is replaced by the closest valid wording that achieves its purpose.
25.5 No waiver: not exercising a right at a given time is not a waiver of it.
25.6 Language: the Arabic text prevails over the English translation.
25.7 Entire agreement: the Agreement with these terms is the entire agreement and replaces any earlier understanding on its subject.
26Contact and complaints
26.1 For any question or complaint about the Site or the service: info@naqardigital.com, +966 56 292 5982, or the Portal for Clients.
26.2 We acknowledge complaints within 2 working days and reply with a solution or plan within 10 working days.
26.3 If a complaint is not resolved, you may contact the competent authority in your country, such as the Ministry of Commerce in Saudi Arabia, or Egypt's Consumer Protection Agency where it has jurisdiction.
